SEBI AMENDS FORMAT OF STATEMENT SHOWING SHAREHOLDING PATTERN OF PUBLIC SHAREHOLDER/FOREIGN OWNERSHIP LIMITS.
Regulation 31 of Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements) Regulations, 2015 (“Listing Regulations”), deals with the disclosure of shareholding pattern and manner of maintaining shareholding in dematerialized format.
Accordingly, SEBI vide Circular No. CIR/CFD/CMD/13/2015 dated November 30, 2015 (as amended) (“the Circular”), had prescribed formats for disclosure of holding of specified securities and shareholding pattern under Annexure-I to the Circular.
SEBI vide its Circular (SEBI/HO/CFD/PoD-1/P/CIR/2022/92) dated June 30, 2022 (“the revised Circular”) has issued Notification for partially modifying the aforesaid Circular dated November 30, 2015, regarding Disclosure of holding of specified securities and Holding of specified securities in dematerialized form, as under
Clause 2(d) has been amended namely: –
- In the disclosure of public shareholding, names of the shareholders holding 1% or more than 1% of shares of the listed entity is to be disclosed.
- Names of the shareholders who are persons acting in concert, if available, shall be disclosed separately.”
The following formats under Clause 5 has been amended namely (Inserted in Annexure A of the revised Circular):
- Table III – Statement showing shareholding pattern of the Public shareholder.
- Table IV – Statement showing shareholding pattern of the Non Promoter – Non Public Shareholder.
The format specified in the Annexure B to this revised circular shall be Table VI under Clause 5 the Circular. All listed entities shall disclose details pertaining to foreign ownership limits in the said format as per Annexure B.
This Circular shall come into force with effect from the quarter ending September 30, 2022.
